Initial public offering of up to 54,03,600 equity shares of face value of Rs10/- each ("Equity Shares") of the company for cash at a price of
Rs118 per equity share (including a Share Premium of Rs108 per equity Share) ("Offer Price") aggregating up to Rs63.76 crores (the "Offer") comprising a fresh issue of up to 43,23,600 equity shares of face value
Rs10/- each aggregating up to Rs51.02 crores by the company (the "Fresh Issue") and an offer for sale of up to 10,80,000 equity shares (the "Offered Shares") by Sandeep Gangabishan Bajoria aggregating up to Rs12.74 crores (the "Selling Shareholder", and such equity shares offered by the selling shareholder, the "Offered Shares") (such offer for sale by the selling shareholder, the "Offer for Sale" and together with the fresh issue, "the Offer"). The offer will constitute 26.50 % of the post-offer paid-up equity share capital of the company. The offer includes up to 2,71,200 equity shares of face value of Rs10/- each at an offer price of Rs118 per equity share for cash, aggregating Rs3.20 crores which will be reserved for subscription by the market maker to the offer (the "Market Maker Reservation Portion"). The offer less market marketmaker reservation portion i.e. offer of upto 51,32,400 equity shares of face value of Rs10/- each, at an offer price of Rs118 per equity share for cash, aggregating up to Rs60.56 crores is hereinafter reffered to as the "Net Offer". The offer and net offer will constitute 26.50 % and 25.17 %.
