Intial public offer of up to 9,02,000 equity shares of face value of Rs10 each ("Equity Shares") of Proventus Agrocom Limited ("Company" / "Issuer") for cash at a price of Rs771 per equity share (including a share premium of Rs761 per equity share) ("Offer Price") aggregating up to Rs69.54 crores comprising a fresh issue of up to 6,71,853 equity shares aggregating up to Rs51.80 crores by the company ("Fresh Issue") and an offer for sale of up to 2,30,147 equity shares aggregating up to Rs17.74 crores ("Offered Shares") by the selling shareholders comprising up to 1,15,145 equity shares aggregating up to Rs8.88 crores by Shree Jmd Investment Advisors llp, Shalin Sanjiv Khanna and Sanjiv Jagdish Khanna (the "Promoter Selling Shareholder") and upto 1,15,002 equity shares aggregatingup to Rs8.87 crores by Guruprasad Rao and Manish Bhagchand Jain huf (collectively "Other Selling Shareholders") (the promoter selling shareholders and the other selling shareholders, collectively referred to as the "Selling Shareholders") ("Offer for Sale", together with the fresh issue, the "Offer").
The offer includes a reservation of up to 45,100 equity shares aggregating up to Rs3.48 crores for subscription by market maker ("Market Maker Reservation Portion"). The offer less the market maker reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer shall constitute 26.32% and 25.00%, respectively, of the post-offer paidup equity share capital of the company.
